Terms and Agreement Policy and Cancellation Policy.
Scope of Services
Amber Janae (“Consultant”) agrees to provide the following services to the Client, as outlined in the selected service package:
Purpose & Brand Alignment Session
Collaborative Branding Experience (Individual or Team)
Identity Alignment Intensive
Full-Scale Brand Creation
A separate agreement or proposal will detail the specific deliverables, timelines, and pricing.
Client Responsibilities
The Client agrees to:
Provide all necessary information, materials, and feedback in a timely manner to ensure the project stays on schedule.
Communicate clearly and promptly regarding any changes, concerns, or questions.
Respect the Consultant’s expertise and creative process while providing constructive feedback.
Payment Terms
A non-refundable deposit of 25% is required to secure the booking for all services.
For smaller projects, the full balance is due upfront upon booking.
For larger-scale projects (e.g., Full-Scale Brand Creation), payments can be divided into installments throughout the duration of the project, as outlined in the proposal.
Late payments may result in a pause of services until payment is received.
Intellectual Property
Upon full payment, the Client will own the final deliverables (e.g., branding materials, strategies, or roadmaps) created specifically for their project.
The Consultant retains the right to use anonymized project details for portfolio, marketing, or educational purposes unless otherwise agreed in writing.
Confidentiality
The Consultant agrees to keep all Client information confidential unless required by law to disclose it. The Client agrees to respect the confidentiality of any proprietary methods or materials the Consultant shares.
Limitation of Liability
The Consultant is not liable for indirect, incidental, or consequential damages from the services provided. The Client acknowledges that the Consultant’s recommendations are advisory and that ultimate decision-making rests with the Client.
Governing Law
The laws of California govern this agreement, and any disputes will be resolved in accordance with those laws.
Cancellation Policy
Rescheduling
Clients may reschedule sessions or workshops up to 3 days before the scheduled date without penalty.
Rescheduling requests made within 1 day of the session may incur a fee of 50% of the total service cost.
Cancellations by Client
If the Client cancels a service:
Cancellations made more than 3 days before the scheduled date will receive a full refund minus the non-refundable deposit.
Cancellations made within 2 days of the scheduled date will not be eligible for a refund.
For multi-session packages (e.g., Identity Alignment Intensive or Full-Scale Brand Creation), cancellations after the first session will be refunded prorated, minus the non-refundable deposit and fees for completed work.
Cancellations by Consultant
The Consultant reserves the right to cancel or reschedule services due to unforeseen circumstances (e.g., illness, emergencies). In such cases, the Client will be notified as soon as possible, and a full refund or rescheduled session will be offered.
No-Shows
If the Client fails to attend a scheduled session without prior notice, the session will be considered forfeited, and no refund will be provided.
Force Majeure
Neither party will be held liable for delays or failures in performance caused by circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, or government restrictions. In such cases, the Consultant will work with the Client to reschedule or adjust the services as needed.
Acknowledgment
By booking a service with Amber Janae, the Client agrees to the terms outlined in this Terms and Agreement Policy and Cancellation Policy.
